Richard J. Diamond
President and Chief Executive Officer
Mr. Diamond currently serves as the President and Chief Executive
Officer of Apogee. Prior to being promoted to these positions in
January 2008, Mr. Diamond served as a Senior Vice President of Apogee
since its inception in February 2004. Mr. Diamond is a co-founder
of Apogee and his areas of responsibility include administration,
due diligence, document preparation and review, and assisting clients
with corporate filings and compliance.
Mr. Diamond has a vast knowledge of reverse mergers and assisting
private companies in going public via reverse merger transactions.
Prior to joining the Company, Mr. Diamond served as Managing Member
and Vice President of Apogee Business Consultants, LLC from April
2000 until December 2005 working primarily on reverse mergers and
acquisitions. Mr. Diamond previously served as founder, President
and sole director of RJ Diamond Consulting, Inc., a privately owned
Florida corporation specializing in financial and public company
consulting from October 2001 until December 2005. From January 1995
until February 2000, Mr. Diamond served as a director and President
of Treasure Rockhound Ranches, Inc., a membership sales organization.
Mr. Diamond graduated from Florida Southern College in Lakeland
Florida in 1987 with a Bachelors of Science Degree in Finance and
a minor concentration in Marketing.
D. Jerry Diamond
Chief Operating Officer
Mr. Diamond serves as the Chief Operating Officer of Apogee and
is responsible for the overall corporate development of the firm.
Mr. Diamond joined Apogee as its COO in January 2008. Mr. Diamond
also currently serves as the President of Apogee Consultants, Inc.
a non-related privately held Florida corporation that specializes
in reverse mergers.
For the past 45 years, Mr. Diamond’s extensive background
has been in managing publicly traded and private companies.
Mr. Diamond previously served as President of Apogee Business Consultants,
LLC, (“ABC”) a privately held Nevada limited liability
company from April 2000 to December 2005, working primarily on reverse
mergers and acquisitions. Mr. Diamond previously served as co-founder,
President, and Chairman of Peerless Consultants, Inc., a privately
owned Florida corporation specializing in financial and public company
consulting from January 1996 to March 2003. Prior to co-founding
Peerless and ABC, Mr. Diamond held various positions with several
public and private corporations including: Channel America Broadcasting,
Inc. (CATV), f/k/a EVRO Corporation where Mr. Diamond served as
a director from 1992 until 1996. From 1994 until his resignation
in 1997, Mr. Diamond served as Chairman of American Clinical Labs,
Inc. ("ACL"), a Florida corporation. From February 1992
through October 1992, Mr. Diamond was Senior Vice President and
Chief Operating Officer of Veridien Corporation, a publicly traded
healthcare company headquartered in St. Petersburg, Florida, which
specializes in infection control. From 1988 through 1992, Mr. Diamond
was Chairman, President and Chief Executive Officer of Coastland
Corporation of Florida, a Tampa, Florida based company specializing
in the development of businesses in the hazardous and non-hazardous
waste recycling industry.
Mr. Diamond graduated from the charter class of the University of
South Florida in Tampa Florida with a Bachelors of Science Degree
in Marketing and Management.
Dale E. Phillips
Chief Financial Officer
Mr. Phillips joined Apogee as its CFO in January 2008. Mr. Phillips
is also the managing member of TotalCFO, LLC which provides consulting
and CFO services to a number of companies and high wealth individuals.
From 2000 to 2007 Mr. Phillips served as a director and Vice President
of Finance for RE Purcell Construction Co., Inc., a paving and utility
contractor. He is also a director and Vice President for Dalmari,
Inc. Mr. Phillips also currently serves as a director of Deer Valley
Corporation (DVLY.OB).
Overall, Mr. Phillips has proven financial leadership qualities
and is proficient in GAAP and tax accounting, budgeting, debt restructuring,
due diligence, negotiation, financial planning and asset management.
Mr. Phillips holds an A.S. (1968) in Business Management from Champlain
College and a B.A.(1971) in Accounting from Castleton State College.
Mr. Phillips brings a vast knowledge of accounting for both private
and public companies.
Hans Christian Beyer, Esq.
General Counsel
Mr. Beyer joined Apogee in January 2008 as General Counsel.
An accomplished litigator, counselor on bankruptcy and workout related
topics, speaker, and published author on insolvency, complex international
transactions, asset recovery, and tax issues, Hans Christian Beyer
earned his law degree from the University of Michigan Law School
and his Bachelor of Arts degree with high honors in Economics from
the University of Michigan. Mr. Beyer began his career with Midwest
Continental Company as a financial planner developing sophisticated
retirement plans for Fortune 500 executives. In 1991, Mr. Beyer
joined Stearns, Weaver, Miller, Weissler, Alhadeff & Sitterson,
P.A., where he became a partner in the firm’s bankruptcy/creditors’
rights department and was responsible for large commercial reorganization,
bankruptcy, and asset recovery matters. Thereafter, he joined the
national law firm of Buchanan Ingersoll, P.C., one of the country’s
top 100 law firms, as the partner in charge of the firm’s
South Florida bankruptcy practice. There, he continued his specialization
in bankruptcy and complex litigation, and was instrumental in successful
asset recovery efforts in several high profile fraud cases in Florida.
Mr. Beyer is currently a partner with Saxon, Gilmore, Carraway,
Gibbons, Lash & Wilcox, P.A., a Tampa-based firm specializing
in all aspects of business law. During his career, Mr. Beyer has
represented a full spectrum of clients, from global financial institutions
to foreign and domestic corporations, as well as high net worth
individuals. Mr. Beyer is a member of the Executive Committee of
the Florida Bar’s Business Law Section, the American Bar Association,
the Florida Bar Association, and the American Bankruptcy Institute.
He is currently the Chair of the Business Law Section’s Bankruptcy
and UCC Committee. In recent years, he has spoken at several World
Tax Conferences and international insolvency symposia and has been
published both nationally and internationally. Mr. Beyer has also
prepared chapters for American Bar Association treatises and is
a regular guest lecturer at the University of Florida’s Levin
School of Law.
Mr. Beyer graduated from the University of Michigan Honors College
with high honors and distinction majoring in Economics and the University
of Michigan Law School, Juris Doctorate.
